1. Agreement and business use
These Terms of Service ("Terms") form a binding agreement between Sahor One Technologies, Inc. ("Sahor One", "we", "us" or "our") and the organisation, company, sole trader or other business accepting them ("Customer", "you" or "your"). They govern access to and use of the Sahor One websites, applications, APIs, WhatsApp-enabled workflows and related products and services (the "Services").
By creating an account, joining a pilot, signing an Order Form, clicking acceptance or using the Services, you confirm that you have authority to bind the Customer and that the Customer accepts these Terms.
2. Contract documents and priority
The agreement may include an Order Form, pricing page, DPA, service-specific terms, support or service-level terms and policies expressly incorporated by reference. If documents conflict, the following order applies unless an Order Form states otherwise: (1) Order Form; (2) DPA; (3) service-specific terms; (4) these Terms; and (5) online documentation or policies.
3. Eligibility, accounts and authority
- You must be legally able to enter a binding business contract and be at least 18 years old.
- You must provide accurate account and business information and keep it current.
- You are responsible for users, credentials, permissions, account activity and connected services.
- You must promptly remove access when a user is no longer authorised and notify us of suspected compromise.
You may not share a single named-user account between unrelated individuals or allow access by competitors for benchmarking without our written permission.
Before we enable payments, e-invoicing or other regulated features, we may require business and identity verification. Verification, including document checks, facial biometric comparison and anti-money-laundering, sanctions and politically exposed person screening, is performed on our behalf by Shufti Pro. Customer must ensure that each individual who is verified has been informed of the check and, where the law requires it, has given consent.
4. The Services
Sahor One provides software tools for customer communications, lead management, quoting, scheduling, job and field workflows, invoicing, payment coordination, reporting, automation and related business operations. Features may be delivered through web, mobile, WhatsApp, APIs or third-party integrations.
We may improve, modify or discontinue features. We will use commercially reasonable efforts to avoid materially reducing paid core functionality during a subscription term, except where required for security, law, third-party platform changes or prevention of harm.
5. Pilot, beta and early-access services
Pre-release, pilot, beta, preview or early-access features may be incomplete, change without notice, contain errors or be suspended. They are provided for evaluation and feedback and may not be suitable for production-critical use.
Unless an Order Form states otherwise, pilot access does not include a service-level commitment, warranty of uninterrupted availability or obligation to release any feature. Pilot data may be reset or migrated as the product evolves, subject to the DPA and applicable law.
6. Subscriptions, fees, promotions and taxes
Fees, billing frequency, usage limits and subscription term are stated in the applicable plan or Order Form. Unless stated otherwise:
- fees are billed in advance and are non-refundable except where required by law or expressly stated;
- subscriptions renew automatically for the same period unless cancelled before renewal;
- usage beyond plan limits may be charged at the applicable rate or require an upgrade;
- prices exclude VAT, sales, withholding and similar taxes, which are the Customer's responsibility except taxes on our net income.
Free months, pilot credits and promotional discounts are limited to eligible new customers, are not transferable or redeemable for cash, and may end or convert to paid service according to the stated offer. We will present applicable paid terms before charging after a free pilot where required.
7. Payment processing and payouts
Payment links, card processing, payouts and settlement services may be provided by licensed third-party providers. Their terms, onboarding, verification, fees, reserves, disputes and compliance requirements apply in addition to these Terms.
Sahor One is not a bank, money transmitter, card network or custodian of Customer funds. We do not guarantee that a provider will approve an account or transaction, or that funds will settle by a particular time.
Card and online payments in the Services are processed by Stripe. To accept payments, Customer must create or connect a Stripe account and accept the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement, as Stripe updates them from time to time. Stripe, not Sahor One, holds and settles funds. Customer authorises Sahor One to share information about Customer and its transactions with Stripe, and to receive from Stripe the payment, payout, dispute and account-status information needed to provide the Services.
8. Acceptable use
You must not use the Services to:
- violate law, sanctions, export controls, privacy, consumer, employment, tax, communications or intellectual-property rights;
- send spam, unlawful marketing, deceptive messages, harassment or content that is harmful, fraudulent or discriminatory;
- upload malware, attack systems, bypass controls, probe vulnerabilities or interfere with other users;
- collect or process highly sensitive data without appropriate safeguards and a written agreement where required;
- reverse engineer, copy, scrape, resell or build a competing service from the Services except where law expressly permits;
- misrepresent identity, impersonate another person or use connected accounts without authority;
- use AI outputs to make unlawful or unreviewed high-impact decisions about individuals.
We may investigate suspected misuse and suspend access where reasonably necessary to protect users, partners, the Services or the public.
9. WhatsApp, messaging and customer consent
You are responsible for complying with applicable messaging laws and the policies of WhatsApp, Meta and other channels. This includes obtaining and documenting required opt-ins, using approved templates where required, respecting opt-outs, honouring communication windows and avoiding prohibited content.
You determine the recipients, content, timing and lawful basis for messages sent through your account. Sahor One may apply technical controls or rate limits required by a channel provider or to prevent abuse.
WhatsApp messaging in the Services uses the WhatsApp Business Platform provided by Meta Platforms, Inc. and its affiliates. Customer must accept and comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and any other Meta policies that apply to its account, including opt-in requirements, message template approval and messaging limits. Meta may charge conversation or message fees, which are passed through or billed as described in the Order Form or pricing page.
10. Customer Data and privacy
As between the parties, Customer owns Customer Data. Customer grants Sahor One and its subprocessors a limited right to host, copy, transmit, display, transform and otherwise process Customer Data only as necessary to provide, secure, support and improve the Services, follow documented instructions and meet legal obligations.
Customer represents that it has all rights, notices, consents and lawful bases necessary for the Customer Data and connected accounts. Each party will comply with applicable data-protection law. Our Privacy Policy describes processing for which we act as controller; the DPA governs processing on Customer's behalf.
11. AI-assisted features
AI features may produce drafts, classifications, summaries, translations, recommendations or automated actions. Outputs may be inaccurate, incomplete, biased or unsuitable. Customer must use qualified human review before sending, publishing, invoicing, making commitments or taking decisions based on an output.
Customer must not represent AI output as professional legal, tax, accounting, medical, engineering or financial advice. Customer remains responsible for messages, records, decisions and actions taken through its account.
AI features, including the AI Receptionist, drafting, classification and voice-note processing, use large language models provided by OpenAI and Anthropic through their business APIs. Content submitted to an AI feature, such as a customer message, service details or configured policies, is sent to the model provider to generate the output, and the provider processes it as our subprocessor under its business terms. Customer must not configure AI features to process payment card numbers, identity documents or special categories of personal data.
12. Invoicing, tax and regulatory features
The Services may help create invoices, structured records, tax fields, reports or submissions. These are operational tools, not legal, tax or accounting advice. Customer is responsible for registrations, tax numbers, invoice accuracy, VAT treatment, archiving, filing, approvals, reporting and compliance with the rules applicable to its business and jurisdiction.
Availability of an integration, format or accredited partner does not itself guarantee that every invoice or workflow is compliant. Customer should obtain professional advice and verify configurations before relying on them.
Where Customer uses Sahor One e-Invoicing in the UAE, invoices are exchanged and reported through an Accredited Service Provider approved by the UAE Ministry of Finance and made available through the Services. By activating e-Invoicing, Customer appoints that provider on the terms presented at activation and authorises Sahor One to send it the structured invoice, buyer, seller and tax data required for exchange and reporting. The provider is identified in Customer’s account documentation and on request.
13. Third-party services and integrations
Third-party services are governed by their own terms and policies. We are not responsible for their availability, acts, omissions, data handling, pricing or changes. A provider may suspend access, modify APIs or require additional approvals.
You authorise us to exchange data with connected services as necessary to provide the integration. You must maintain valid licences, permissions and credentials for those services.
Third-party services used within the Services include Stripe for payments and payouts; Shufti Pro for identity and business verification, facial biometric checks and anti-money-laundering screening; the WhatsApp Business Platform from Meta for messaging; Google Maps Platform for address, map and location features; and OpenAI and Anthropic for AI models. The current list, with each provider’s purpose and the data involved, is published on our Subprocessors page.
Maps and location features are subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
14. Security and account administration
We maintain safeguards designed to protect the Services. Customer is responsible for configuring roles, using strong authentication, protecting devices and credentials, training users, maintaining backups or exports appropriate to its risk, and promptly reporting incidents.
No security measure eliminates all risk. Customer must not disclose credentials to unauthorised parties or circumvent security controls.
15. Intellectual property
Sahor One and its licensors own the Services, software, designs, documentation, models, interfaces, trademarks and related intellectual property. Subject to payment and compliance with the agreement, we grant Customer a limited, non-exclusive, non-transferable, revocable right during the subscription term to use the Services for its internal business operations.
No rights are granted except as expressly stated. Customer retains ownership of Customer Data and Customer branding.
16. Feedback and usage insights
If you provide ideas, suggestions or feedback, you grant Sahor One a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or payment. We may create aggregated or de-identified service statistics that do not identify Customer or individuals and may use them for analytics, benchmarking, security and product improvement.
17. Confidentiality
Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The receiving party will use it only for the agreement, protect it with reasonable care and disclose it only to personnel and providers who need it and are bound by confidentiality obligations.
Confidentiality does not cover information that is public without breach, already lawfully known, independently developed or lawfully received from another source. A legally required disclosure is permitted after notice where legally allowed.
18. Availability, support and changes
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, internet failures, customer systems, third-party providers, force majeure and security events may affect availability. Support and service levels apply only if stated in an Order Form or separate SLA.
19. Suspension and termination
Either party may terminate as stated in an Order Form. Customer may stop renewal by cancelling before the renewal date. We may suspend or terminate access if Customer materially breaches the agreement, fails to pay, creates security or legal risk, violates channel policies, or if suspension is required by a provider or authority.
Where practicable, we will give notice and an opportunity to cure. On termination, rights to use the Services end. Accrued fees, confidentiality, intellectual-property, liability, indemnity, dispute and other provisions intended to survive will remain effective.
20. Warranties and disclaimers
We warrant that we will provide paid Services with reasonable skill and care. Customer's exclusive remedy for a material breach of this warranty is re-performance or, if we cannot remedy it, termination of the affected Service and a pro-rata refund of prepaid unused fees.
To the fullest extent permitted by law, the Services, pilot features and outputs are otherwise provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing or usage. We do not guarantee business results, revenue, tax compliance, message delivery, AI accuracy or third-party services.
21. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill, opportunity, anticipated savings or data, even if advised of the possibility.
Each party's aggregate liability arising from the agreement will not exceed the fees paid or payable by Customer for the affected Services during the 12 months before the event giving rise to liability. For free or pilot Services, Sahor One's aggregate liability will not exceed USD 100.
These limits do not apply to liability that cannot legally be limited, fraud, wilful misconduct, death or personal injury caused by negligence, Customer's payment obligations, or Customer's breach of acceptable-use, intellectual-property or data-rights obligations.
22. Indemnity
Customer will defend and indemnify Sahor One and its affiliates, officers and personnel against third-party claims, losses and reasonable costs arising from Customer Data, Customer content, unlawful messaging, connected accounts, products or services sold by Customer, or Customer's breach of Sections 8–12.
Any intellectual-property indemnity by Sahor One applies only if expressly included in an Order Form.
23. Trade, sanctions and anti-corruption
Each party will comply with applicable export-control, sanctions, anti-money-laundering and anti-bribery laws, including applicable UAE, United States, United Kingdom and United Nations requirements. Customer must not allow use by prohibited persons, entities or territories and must not use the Services to facilitate unlawful payments or transactions.
24. Governing law and disputes
The governing law and forum stated in an Order Form control. If no Order Form specifies them, the agreement is governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
Before filing a claim, each party will attempt in good faith for 30 days to resolve it through authorised business representatives. Either party may seek urgent injunctive relief. Mandatory laws of the UAE or another jurisdiction continue to apply where they cannot lawfully be excluded. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
